We have advised on some of the largest, most complex business law transactions of the last several decades, successfully closing, among other transactions:

• a reverse triangular merger between a Euronext and Nasdaq listed company and a US publicly listed software business; 
• global offerings for EADS, Telefonica, Portugal Telecom in amounts up to several billion dollars; 
• global bond financing for the Ministry of Finance of the People's Republic of China; 
• and the massive Ras Lafan LNG project financing.

Litigation can be a tough fight that requires strength, agility, speed and endurance.  

We have delivered for our clients with aggressive litigation in:

• defending financial advisors and public figures in career-threatening litigation; 
• winning a nearly $1 million settlement in a dispute over a rare violin;
• securing favorable settlements for, among others, a RICO plaintiff in federal court, a business woman in a dispute with a former co-founder a migrant farm worker in a claim against an upstate New York dairy farm, misclassified and mistreated employees, and property owners; 
• reversing trial court judgments on appeal for a retail merchant in a contract dispute with a large regional property developer and the spouse of prominent business man in bitterly fought equitable distribution battle; 
• obtaining and enforcing judgments for a Web services provider, a Russian copper trader, and an indigent spouse; and 
• successfully defending individuals and businesses in complex state and federal defamation, breach of contract, tortious interference, and misappropriation of trade secrets  cases. 

Much of the practice of law involves neither closing deals nor aggressive litigation, but counseling clients on ways to avoid or resolve business law issues that threaten the success of a business or place individuals and companies in jeopardy.  With over 30 years experience advising top management, entrepreneurs, and even governments, we pride ourselves on our ability to provide thoughtful, practical counsel that can keep deals on track or avoid costly, reputationally damaging litigation.  Among our most important achievements in this area involved: 

• advising the CEO of a recently listed company on appropriate disclosure and negotiating strategy with law enforcement tipped off to baseless claims by a competitor;
• advising the Ministry of Defense of a Central Asian country on an alleged illegal sale of jet fighters to an adversary of the United States;
• counseling a Fortune 50 company in an internal investigation into alleged accounting irregulatories in a foreign subsidiary; and 
• protecting the founders of a start-up in a dispute with a co-founder threatening to derail the company's business.
